Terms of Service
These terms govern the agreement between Low Cost SEO Plans (LCS) and you the client for the provision of SEO and related digital marketing services.
Between
LCS (Low Cost SEO Plans) — or any business, individual, group, organisation, or other party implementing SEO, SEM, Google Ads, or online marketing services on behalf of LCS. ("SEO Consultant")
And
You the customer — otherwise known as ("You The Client").
Purpose
LCS to provide customers with Search Engine Optimisation Maintenance and other web-based services, outlined in this document, on the Customer's websites or referred domains as agreed.
Terms of Operation
- 1LCS's team will operate between the hours of 9am and 6pm Monday to Friday and shall be available by telephone, chat, and via email during hours of operation.
- 2Changes and enhancements to existing interfaces, features, functionality, processes, database structures, and documentation for the SEO purpose will be first consulted and agreed upon.
- 3LCS will assign a dedicated account manager — a single point of contact — for carrying out all communications between the two parties.
- 4LCS will provide a communication channel for matters warranting escalation with appropriate contact details of responsible senior officials.
- 5LCS will provide satisfactory explanation and guidance on points or queries raised by you the client.
- 6The SEO Consultant is authorised to use relevant keywords and/or phrases for developing, improving, or maintaining the ranking of the Customer's website/s in search engines, primarily www.google.com.au.
- 7SEO Consultant will endeavour to optimise and/or maintain the Customer's main search terms along with keywords and regions or suburbs to appear on the top pages of search engines. The search engine optimisation work will be carried out or maintained on a regular basis until this terms agreement expires, if the Customer fails to make payments on time, or if this agreement is terminated.
- 8The SEO maintenance work carried out by the SEO Consultant is solely aimed at increasing visibility and boosting site rankings on www.google.com.au.
- 9During this contract term no other web design/SEO company will have access to the Client's website/s or platforms we are operating besides the SEO Consultant. If the Customer needs to give access to any other party for any reason besides website design or revamp, the SEO Consultant will be informed prior in writing. Note: the way we run our accounts is bespoke to us — our agency has access to strategy and implementation options others don't. You own the outcome; we retain the tools, methods, and skills.
- 10The Client must provide the SEO Consultant with log-in information (username and password) for FTP, CMS, Analytics, and Social media. This is to allow website/s to be optimised. SEO Consultant will maintain confidentiality of log-in information.
Contract Term
- 1The SEO Maintenance contract between the SEO Consultant and the Client will run for a minimum duration of 1 month starting from the date of order confirmation, and continue until payments cease and a four (4) week written notice is given to cancel the contract.
- 2On-page optimisation: LCS will provide on-page optimisation — any modifications and changes to the website suggested and provided by LCS will be carried out.
- 3All press releases and blog articles are required to be approved by the client prior to use.
Price & Payment
- 1You the customer shall pay LCS for the agreed work; authorisation shall be executed by both parties. Upon receipt of a valid invoice, payment will be remitted at the beginning of each month.
- 2Each party may give a 30-day written cancellation notice to cancel payments.
- 3Payment to be released to LCS on a monthly basis plus applicable taxes.
- 4Payment to the account specified in the checkout process (LCS bank account details or via PayPal).
Deliverables
- 1Weekly Ranking Report.
- 2Monthly statistics.
- 3Monthly SEO work.
Receivables
- 1Initial requirements from the client.
- 2Hosting details.
- 3Keywords targeted list (if any).
- 4Monthly 500-word article required for blog submissions.
- 5Account passwords as indicated in Terms of Operation.
Confidentiality
- 1LCS acknowledges that the software/websites and other data on LCS's application server embodies logic, design, and coding methodology that constitutes valuable confidential information proprietary to the client. LCS will safeguard access to the software using the same standard of care used for its own confidential materials.
- 2All data pertaining to the client disclosed to LCS in connection with the performance of this Agreement will be held as confidential and will not, without prior written consent, be disclosed or used for any purpose other than the performance of this Agreement.
Limitation of Liability
- 1Neither party will be liable to the other for special, indirect, or consequential damages incurred or suffered by the other arising as a result of or related to the use of the services, whether in contract, tort, or otherwise.
- 2The source code and backend tactics used by the SEO Consultant to optimise websites will remain the intellectual property of the SEO Consultant. The original source code of the client's website will remain the intellectual property of the Customer.
- 3In no event shall the Consultant be liable to the Client for re-procurement costs, lost profits, business interruption, loss of use, or incidental/consequential damages. The Consultant's total liability shall be limited to 1 month's invoiced value of the SEO fees.
Relationship of Parties
- 1Nothing in this Agreement will create or imply an agency relationship between the parties, nor will this Agreement be deemed to constitute a Joint Venture or partnership between the parties.
Non-Assignment
- 1Neither party will assign this Agreement, in whole or in part, without the prior written consent of the other party.
Severability
- 1If any term of this Agreement is found to be unenforceable or contrary to law, it will be modified to the least extent necessary to make it enforceable, and the remaining portions of this Agreement will remain in full force and effect.
Force Majeure
- 1Neither party will be held responsible for any delay or failure in performance of any part of this Agreement to the extent that such delay is caused by events or circumstances beyond the delayed party's reasonable control.
Usage, Content & Duty of Care
- 1The Client guarantees any elements of text, graphics, photos, designs, trademarks, or other artwork provided to the Consultant for inclusion on the Website, Blog, Post, or any other form of digital content is owned by the Client, or that the Client has received permission from the rightful owner(s) to use each of the elements.
Waiver and Modification
- 1The waiver by any party of any breach of covenant will not be construed to be a waiver of any succeeding breach or any other covenant. All waivers must be in writing and signed by the party waiving its rights.
- 2This Agreement may be modified only by a written instrument executed by authorised representatives of the parties.
Entire Agreement
- 1This Agreement constitutes the entire agreement between the parties with respect to its subject matter, and supersedes all prior agreements, proposals, negotiations, representations, or communications relating to the subject matter as per the laws in Australia.
- 2By paying an invoice, the client agrees to the terms on this page and any additional SOW criteria referenced in the invoice. The terms and SOW criteria are legally binding for both parties.
Assumptions — Service Limitations
- 1LCS will maintain adequate and reasonable service levels but is not liable for any outages or interruptions caused by third-party events, including: changes by a Domain Name Provider or Registrar; changes by a web hosting company; changes by an email hosting company; any Denial of Service attack; intentional misuse; use of insecure passwords; worms, viruses, or other malicious software; natural events outside of our control including fire, flood, or terrorism-related events.
- 2The above deliverables are subject to change based on Search Engine Algorithm changes.
- 3Rankings achieved will depend on key-phrases selected, competitiveness, algorithm changes, and persistence in optimisation.
- 4Pricing plans may change based on Google Algorithm changes and cost of SEO resources and tools.
Meetings, Recording & AI Transcription
- 1We may use AI transcription and/or AI recording from time to time to assist with meeting notes and note-taking.
